Company Overview Dunkin’ Brands Group Inc. Company goes public in 2011, eyes expansion into western markets F or Canton, Mass.-based Dunkin’ Brands Group Inc., no news was bigger during 2011 than the company’s late July initial public offering of 22,250,000 shares of its common stock at a price of $19 per share. The price was up from the estimated price of $16 to $18 per share that Dunkin’ projected in a July 11 filing with the Securities and Exchange Commission. Dunkin’ Brands, which owns Dunkin’ Donuts and Baskin-Robbins, said it expects to raise about $423 million before expenses. Additionally, underwriters were given a 30day option to purchase up to an additional 3,337,500 shares. The stock, which trades on the Nasdaq market under the ticker symbol “DNKN,” opened at $24.97 on July 27 and climbed as high as $31.94 on Aug. 1. By late September, the company’s stock was trading between $26 and $27. Dunkin’ has said it expects to use net proceeds from the sale together with the net proceeds from an additional $100 million of term loan borrowings and available cash to repay all amounts outstanding under the Dunkin’ Brands, Inc. 9 5/8% senior notes due 2018, and to use any remaining net proceeds for working capital and for general corporate purposes. On the financials front, Dunkin’ Brands recorded relatively flat earnings in the sec- ond quarter of fiscal 2011 as the company focused on U.S. expansion and growing internationally. Net income in the quarter ended June 25 was $17,162,000, down narrowly from $17,337,000 in the same period a year ago. Total revenues in the second quarter rose 4% to $156,972,000 from $150,416,000. “We delivered strong results for the quarter as a result of our continued focus on driving comparable store sales, expanding contiguously in the U.S., and accelerating international growth across our brands,” said Nigel Travis, chief executive officer of Dunkin’ Brands, Inc. and president of Dunkin’ Donuts. “Our emphasis on operational excellence and exciting product innovations, supported by great marketing, produced strong global system-wide sales and comparable store sales growth for Dunkin’ Donuts U.S., while our franchisees and licensees continued to drive new store growth, both domestically and internationally.” Some of the new store growth is expected to come from locations in untapped parts of Colorado, Texas, Nebraska, Oklahoma and New Mexico. The news comes on the heels of an earlier announcement this year in which Dunkin’ announced plans to expand into San Antonio; Cedar Rapids, Iowa; and Little Rock, Ark. On the coffee front, Dunkin’ in February Nigel Travis reached agreement with Green Mountain Coffee Roasters, Inc. on a promotion, manufacturing and distribution agreement that will make Dunkin’ Donuts coffee available in single-serve K-Cup portion packs for use with Keurig Single-Cup Brewers. As part of the partnership, Dunkin’ Donuts is offering 14-count boxes of coffee in singleserve K-Cup portion packs at participating Dunkin’ Donuts restaurants. G.M.C.R. is packaging the new product using coffee sourced and roasted to Dunkin’s specifications. The new product is available in five flavors: Original Blend, Dunkin’ Decaf, French Vanilla, Hazelnut and Dunkin’ Dark. Participating Dunkin’ Donuts restaurants also occasionally will offer Keurig Single-Cup Brewers for sale. CP F ast acts Dunkin’ Brands set initial public offering in late July at $19 per share. Company said it is extending reach with plans to expand West by 2013.
